TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) for Promotional Events apply to all digital media sweepstakes (“Sweepstakes”) and all promotional giveaways (“Giveaways”) conducted by Carolina FC LLC (“North Carolina FC”) (“Club”). For the avoidance of doubt, the United Soccer League (“USL”) is explicitly neither involved in any Sweepstakes nor responsible for the execution thereof. The Sweepstakes and the Giveaways are collectively referred to in these Terms as the “Promotional Events”. By participating in a Promotional Event, you agree to be bound by the these Terms. Promotional Entities means the Club, the and each of their respective parents, affiliated companies, subsidiaries, licensees, divisions, members, teams and any and all other companies associated with the Promotion.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED FOR THE APPLICABLE SWEEPSTAKES. VOID WHERE PROHIBITED BY LAW. ALL ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT

Eligibility
The North Carolina FC x Restore Hyper Wellness Giveaway (the “Sweepstakes”) is open only to residents of North Carolina who are 18 years of age or older at the time of entry. Employees, officers, and directors of the Club Restore Hyper Wellness, and any of their respective parent companies, subsidiaries, affiliates, agents, and agencies involved in this Sweepstakes, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.

Administrator
The Sweepstakes is administered by the Carolina FC LLC, 801 Corporate Center Drive, Suite 320, Raleigh, NC 27607.

Promotion Period
The Sweepstakes begins at 12:00 PM Eastern Time on Wednesday, October 22, 2025, and ends at 4:00 PM Eastern Time on Tuesday, October 28, 2025 (the “Promotion Period”). Club’s computer is the official timekeeping device for this Sweepstakes.

How to Enter
During the Promotion Period, entrants may enter through the North Carolina FC social media channels by completing all of the following steps:

1. Follow @northcarolinafc and @rhw_villagedistrict on Instagram.
2. Like the giveaway post.
3. Tag a friend in the comments.

Limit one (1) entry per person. Any attempt by any participant to obtain more than one entry by using multiple/different accounts, identities, registrations, or logins, or any other methods will void that participant’s entries and may disqualify them. The “authorized account holder” of the Instagram account used to enter will be deemed the entrant. Potential winners may be required to show proof of being the authorized account holder.

Drawing
Club will randomly select one (1) potential winner from all eligible entries received during the Promotion Period.

The drawing will take place on Tuesday, October 28, 2025, at 801 Corporate Center Drive, Suite 320, Raleigh, NC. The potential winner will be notified via direct message on Instagram and will have five (5) business days to claim the prize. If a potential winner does not respond within that time frame, an alternate winner may be selected.

Prize
The Grand Prize Winner will receive a Restore Day Experience at Restore Hyper Wellness, including:

• One (1) IV Drip
• One (1) Red Light Therapy session
• One (1) Compression Therapy session
• One (1) Whole Body Cryotherapy session

Approximate Retail Value: $340.
No substitution, exchange, or transfer of prize by winner permitted. Club reserves the right to substitute any prize for one of equal or greater value. Prize winners are responsible for all applicable taxes and fees associated with prize receipt and/or use.

Release; Winner Publicity Release
By participating in the Promotion, each entrant agrees to release and hold harmless the Promotional Entities and the USL and all other entities from and against any and all claims, injuries, damages, or losses that may occur, directly or indirectly, in whole or in part, from participation in the Promotion or from the receipt or use of any Prize(s) awarded.
Each entrant (irrespective of whether or not such entrant wins a Prize) grants to each of the Promotion Entities an independent, royalty-free, perpetual, irrevocable, fully transferrable, non-exclusive, worldwide right (but not obligation) and license to publicize and use such entrant’s name, address (city and state of residence), photograph, voice and/or other likeness and Prize information in any and all media now known or hereafter devised, without additional compensation or consideration, notification or permission, unless prohibited by law.
The Club reserves the right, in its sole discretion, to cancel or suspend any Promotional Event for any reason, including any cause that corrupts the administration, security, fairness, integrity, or proper operation of such Promotional Event. In the event of cancellation, Club may elect to identify the Recipient and award the Prize by way of random drawing from among all non-suspect, eligible entries received up to the time of such cancellation.
The Club reserves the right to modify these Terms for clarification purposes without materially affecting the terms and conditions of any Promotional Event.
Each Promotional Event is in no way sponsored, endorsed, or administered by, or associated with, Facebook, Instagram, TikTok, or X.

Disputes
Except where prohibited, entrant agrees that any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the courts located in Wake County, North Carolina. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Club in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of North Carolina without giving effect to any conflict of law rules.

GENERAL CONDITIONS FOR PROMOTIONAL EVENTS

The prize(s) and quantity of such prize(s) to be offered in each Promotional Event (each, a “Prize”) shall be identified by the Club in the applicable e-mail or social media account(s). Exact Prize details shall be determined in the sole and absolute discretion of the Club. Prizes are non-transferable and non-assignable, with no cash redemptions. The Club reserves the right to substitute any Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion. Each Prize recipient (a “Recipient”) is fully responsible for any and all applicable federal, provincial, state, territory and local taxes (including income and withholding taxes). All costs and expenses associated with Prize acceptance and use not specified by the Club as being provided as part of the Prize are the sole responsibility of the Recipient. In the event that the Prize includes tickets to an NCFC game, exhibition or other event, the specific date, time and seat locations will be determined in the sole discretion of the Club, and may be subject to change. The terms and conditions of any tickets awarded as a Prize will govern in the event a game, event or exhibition is not played due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. The Recipient and any guests will be required to comply with all stadium rules and regulations when using tickets awarded as Prizes. Released Parties will not be responsible for Acts of God, acts of terrorism, civil disturbances, pandemics, epidemics, work stoppage or any other natural disaster that may cause the cancellation or postponement of any NCFC game, event or exhibition. Such game, event and exhibition tickets awarded as Prizes may not be resold or offered for resale. In the event more winner notifications are issued, or more winning prize claims are received, than the number of prizes announced by the Club for a given Sweepstakes due to errors, a random drawing will take place from all eligible prize claims for the affected Sweepstakes in order to award the proper number of prizes for that Sweepstakes.

Released Parties are not responsible for stolen, late, incomplete, illegible, misdirected, lost, damaged, garbled, delayed, undelivered, inaccurate, postage-due or garbled entries, e-mail or mail. Entries generated by a script, macro or other mechanical or automated means or by any means which subvert the entry process will be disqualified. Released Parties are not responsible for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, technical failures, computer malfunctions, failures or difficulties, or other errors or difficulties of any kind relating to or in connection with any Promotional Event. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in any Promotional Event. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in any Promotional Event or downloading materials from, or use of, a website. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any advertising or promotion materials and the terms and conditions of these Terms, these Terms shall prevail, govern and control.

Persons who tamper with or abuse any aspect of any Promotional Event or website or attempt to undermine the legitimate operation of any Promotional Event by cheating, deception or other unfair playing practices, or intend to annoy, abuse, threaten or harass any other entrant or Club’s representatives or who are in violation of these Terms, as solely determined by Club, will be disqualified and all associated entries will be void. Any attempt to deliberately damage the content or operation of any Promotional Event is unlawful and subject to legal action by the Released Parties and/or their respective agents. Club shall have the sole right to disqualify any entrant for violation of these Terms or any applicable laws relating to any Promotional Event, and to resolve all disputes in their sole discretion.

INDEMNITY, DISPUTES. By participating in the Promotion, each entrant agrees to indemnify and hold harmless each of the Promotion Entities from any and all liability arising out of or relating in any way to the entrant’s participation in the Promotion. Except where prohibited by law, each entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the State and Federal courts located in the Wake County, State of North Carolina; (b) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH PARTICIPATING THIS PROMOTION AND/OR RECEIVING A PRIZE, BUT IN NO EVENT ATTORNEYS’ FEES; AND (c) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM INDIRECT, PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Sweepstakes Rules, or the rights and obligations of an entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of North Carolina without giving effect to any choice of law or conflict of law rules (whether of the State of North Carolina or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of North Carolina. If any provision of these Official Sweepstakes Rules is declared invalid or unenforceable, such provision will be deemed modified to the extent necessary and possible to render it valid and enforceable. In any event, the unenforceability or invalidity of any provision will not affect any other provision of these Official Sweepstakes Rules, and these Official Sweepstakes Rules will continue in full force and effect, and be construed and enforced, as if such provision had not been included, or had been modified as described above, as the case may be. Entrant hereby irrevocably consents to the personal jurisdiction of said courts and waives any claim of forum non conveniens or lack of personal jurisdiction that they may have.
